    Apotex Health Corp. announces $1,250 million inaugural senior unsecured notes offering

    Toronto, Ontario, September 28, 2026 – Apotex Health Corp. (TSX: APTX) ("Apotex" or the "Company") announced today that it has priced a private placement offering (the "Offering") of $1,250 million aggregate principal amount of senior unsecured notes in three series (the "Notes"), consisting of $400 million aggregate principal amount of 4.390% senior unsecured notes, Series 1 due October 5, 2029, $550 million aggregate principal amount of 4.769% senior unsecured notes, Series 2 due October 5, 2031 and $300 million aggregate principal amount of 5.133% senior unsecured notes, Series 3 due October 5, 2033. The Notes are being offered on an agency basis by a syndicate of agents led by RBC Capital Markets, BMO Capital Markets, Scotiabank and TD Securities, as joint bookrunners, and ATB Cormark Capital Markets, CIBC Capital Markets, and National Bank of Canada Capital Markets, as co-managers.

("Apotex" or the "Company") announced today the closing of the previously announced upsized secondary offering (the "Offering") of common shares of the Company (the "Common Shares") by an affiliate of SK Capital Partners ("SK Capital"), API Investment LP ("Sherfam") and Allan Oberman ("Oberman", and together with SK Capital and Sherfam, the "Selling Shareholders").

    Apotex Health Corp. announces upsize of bought deal secondary offering to $850 million

    Toronto, Ontario, September 15, 2026 - Apotex Health Corp. ("Apotex" or the "Company") announced today that, as a result of strong demand, Apotex, an affiliate of SK Capital Partners ("SK Capital"), API Investment LP ("Sherfam") and Allan Oberman ("Oberman", and together with SK Capital and Sherfam, the "Selling Shareholders") have entered into an amended agreement with the syndicate of underwriters (the "Underwriters") led by RBC Capital Markets, TD Securities Inc., and Scotiabank, as joint lead bookrunners, and BMO Capital Markets and Jefferies Securities, Inc., as joint bookrunners, to increase the size of the previously announced bought deal secondary offering of common shares of the Company (the "Common Shares"). Under the amended agreement, the Underwriters have agreed to purchase 25,000,000 Common Shares from the Selling Shareholders at a purchase price of $34.00 per Common Share for total gross proceeds of approximately $850,000,000 (the "Upsized Offering").
