Apotex licenses exclusive Canadian rights to Qutenza® from Grünenthal

Toronto, Canada and Aachen, Germany, February 24, 2025 – Apotex Inc. ("Apotex"), the largest Canadian-based pharmaceutical company, and Grünenthal, a global leader in pain management and related diseases, announced today that they have entered into a strategic licensing agreement whereby Apotex will have the exclusive Canadian rights to Qutenza®, a topical, non-systemic, non-opioid pain patch indicated for the management of neuropathic pain.

Under the agreement, Searchlight Pharma (“Searchlight”), Apotex's Specialty Pharma Division, will pursue marketing authorization for Qutenza and market and distribute Qutenza in Canada upon regulatory approval. Grünenthal will receive an upfront payment in addition to regulatory milestone payments and royalties.

This agreement further reinforces Apotex's dedication to meeting the needs of patients with innovative solutions and expands Apotex's global portfolio of more than 550 branded, generic, and biosimilar pharmaceutical products.

("Apotex" or the "Company") announced today that, as a result of strong demand, Apotex, an affiliate of SK Capital Partners ("SK Capital"), API Investment LP ("Sherfam") and Allan Oberman ("Oberman", and together with SK Capital and Sherfam, the "Selling Shareholders") have entered into an amended agreement with the syndicate of underwriters (the "Underwriters") led by RBC Capital Markets, TD Securities Inc., and Scotiabank, as joint lead bookrunners, and BMO Capital Markets and Jefferies Securities, Inc., as joint bookrunners, to increase the size of the previously announced bought deal secondary offering of common shares of the Company (the "Common Shares"). Under the amended agreement, the Underwriters have agreed to purchase 25,000,000 Common Shares from the Selling Shareholders at a purchase price of $34.00 per Common Share for total gross proceeds of approximately $850,000,000 (the "Upsized Offering").

("Apotex" or the "Company") announced today that Apotex, an affiliate of SK Capital Partners ("SK Capital"), API Investment LP ("Sherfam") and Allan Oberman ("Oberman", and together with SK Capital and Sherfam, the "Selling Shareholders") have entered into an agreement with a syndicate of underwriters (the "Underwriters") led by RBC Capital Markets, TD Securities Inc., and Scotiabank, as joint lead bookrunners, and BMO Capital Markets and Jefferies Securities, Inc., as joint bookrunners, to complete a secondary offering on a bought deal basis (the "Offering") of common shares of the Company (the "Common Shares"). Under the agreement, the Underwriters have agreed to purchase 22,058,825 Common Shares from the Selling Shareholders at a purchase price of $34.00 per Common Share for total gross proceeds of approximately $750,000,050.
