Privacy Policy

1. Purpose

Apotex Corp. and each of its affiliates (collectively, “Apotex,” “we,” “us,” “our”) respect your privacy and are committed to protecting the personal data we hold about you.

This Apotex Privacy Policy (the "Privacy Notice") explains our practices with respect to Personal Information we collect and process about you. This includes information we collect through, or in association with, our website with a home page located at https://www.apotex.com/us, and related apps (the “Site”), our social media pages, our products and services we may offer, our physical locations or otherwise through your interactions with us (the Site, products, services, physical locations and social media pages, collectively, the “Services”).

The term “Personal Information” or “Personal Data” refers to any information that either alone or together with other information, can be used to identify or describe, directly or indirectly, a particular individual. Personal Information does not include data that is de-identified, aggregated or any other data that is not identifiable to you.

2. Scope/Covered Actions

This Privacy Policy applies whether you are a patient, member of the public, visitor, customer or business partner or any other individual with whom we engage or is involved in connection with the Services (“you” or “your”). If you are an employee, job applicant or contractor, there are separate privacy notices that apply or govern Apotex’s collection and processing of your Personal Information.

California residents should consult our “California Privacy Policy” for more information about certain legal rights.

3. Notice of Collection and Use of Personal Information

A. Categories of Personal Information

3.1. The types of personal data we collect about you depends on your interactions with us and your use of the Services. We may have collected the below categories of personal data:

3.1.1. Name, Contact Information and Identifiers: Identifiers such as a real name, alias, postal address, unique personal identifier, online identifier, internet protocol address, email address, account name or other similar identifiers.

3.1.2. Customer and Other Records: Paper and electronic customer records containing personal data, such as name, signature, address, telephone number, insurance policy number, employment, bank account or any other financial information.

3.1.3. Protected Classifications: Characteristics of protected classifications under applicable state or federal law, such as sex, gender or age.

3.1.4. Purchase History and Tendencies: Commercial information, including records of products or services purchased and purchase history.

3.1.5. Internet Usage Data: Internet or other electronic network activity information, including, but not limited to, browsing history and device information regarding a user’s interaction with an internet website or application.

3.1.6. Geolocation Data: Geographic location information about a particular individual or device.

3.1.7. Audio/Visual Data: Audio, electronic, visual or similar information.

3.1.8. Employment History: Professional or employment-related information.

We will not collect additional categories of personal data other than those categories listed above. If we intend to collect additional categories of personal data, we will provide you with a new notice at or before the time of collection.

B. Sources of Personal Information

3.2. We may collect Personal Information from the following categories of sources:

3.2.1. Directly from you. When you provide it to us directly, whether online, by email, telephone or in-person, or otherwise interact with you in the course of our business, such as through our contact forms, during office or site visits, or sign-up or register to receive emails or other marketing communications from us.

3.2.2. Automatically or Indirectly from you. We and our third-party business partners providers (such as Google Analytics) may automatically collect information on the device used to access our Services through cookies, pixel tags or similar technologies, such as operating systems, IP address, device identifiers and browser information. We may also collect information from you automatically for security and systems monitoring (e.g. through video (CCTV) recording) and building access control logs or in other contexts made apparent to you at the time when you visit our facilities.

3.2.3. Third Party Service Providers. For example, we may use third party service providers when necessary to verify your credentials, professional information (such as by accessing publicly accessible information, national registries or third-party databases), your identity for compliance, security or ID verification purposes or social media networks, including if you contact us through our social media pages.

C. Use of Personal Information

3.3. We may collect and process your Personal Information for the following business and commercial purposes:

3.3.1. To operate, manage and maintain our business and operations; to provide our products and services; to develop new or improve existing products and services; to provide customer service, process or fulfill orders and transactions, validate your licensure, eligibility and verify your information, and process payments.

3.3.2. To market our products and services to you, including sending you newsletters or promotional materials about the products and services we offer.

3.3.3. To communicate with you by email, mail or telephone about products, services, order status, and respond to your requests or inquiries.

3.3.4. In connection with a corporate transaction, sale, or assignment of assets, merger, divestiture, or other changes of control or financial status of Apotex or any of its affiliates.

3.3.5. To detect security incidents and protect against malicious, deceptive, fraudulent, or illegal activity.

3.3.6. Debugging to identify and repair errors that impair existing intended functionality.

3.3.7. To undertake internal research for technological development or demonstration.

3.3.8. To undertake activities to verify or maintain the quality or safety of the services or devices owned, manufactured, manufactured for, or controlled by us, and to improve, upgrade, or enhance the services or devices owned, manufactured, manufactured for, or controlled by us.

3.3.9. To comply with applicable laws, regulations, regulatory reporting requirements (including those related to product complaints and patient safety) and to respond to requests, subpoenas, and orders from relevant law enforcement and/or government agencies and authorities, and any other purpose, as permitted or required by law.

3.3.10. As necessary or appropriate to protect the rights, property, and safety of us, and our patients and consumers.

3.4. We will not use the Personal Information we collected for materially different, unrelated, or incompatible purposes without providing you with notice and obtaining your consent.

D. Retention of Personal Information

3.5. We may retain your Personal Information for as long as needed or permitted in light of the purpose(s) for which it was obtained. The criteria used to determine retention periods include: (i) The length of time we have on an ongoing relationship with you and provide the Services to you; (ii) whether there is a legal obligation to which we are subject; and (iii) whether retention is advisable in light of compliance with laws (such as, in regard to applicable statutes of limitations, litigation or regulatory investigations).

E. Disclosure of Personal Information

3.6. We may disclose the following categories of Personal Information for a business purpose with the following categories of third parties for our business and commercial purposes:

3.6.1. Our Affiliates. Apotex and its affiliated companies may disclose Personal Information amongst and between each other to meet our legal and compliance requirements and operational needs.

3.6.2. Third Party Service Providers. We may disclose Personal Information to third party service providers that provide us and/or our affiliates with services, such as legal counsel, auditors, organizations that help us administer programs, services and compliance requirements, organizations that assist us with data storage and information processing.

3.6.3. Business Partners. We may disclose Personal Information to our business partners in order to allow us to enter into new business relationships or business transactions, including a corporate re-organization, bankruptcy, merger, acquisition, or the sale of all or some of our assets, provided that the personal information disclosed continues to be used for the purposes permitted by this policy by the entity acquiring this information.

3.6.4. Government Authorities. We may disclose Personal Information to law enforcement or government agencies, regulators or regulatory authorities when appropriate or required by law to comply with a regulatory requirement, judicial proceeding, court order, government request or legal process served on us; and/or to protect our interests, rights, property, health and safety, and/or that of our customers, visitors and others.

3.7. We may have disclosed the following categories of Personal Information for a business or commercial purpose:

3.7.4. Category 4 (Purchase History and Tendencies): Affiliates, Service Providers, Business Partners and Government Authorities.

3.7.5. Category 5 (Internet Usage Data): Affiliates, Service Providers and Business Partners.

3.7.6. Category 6 (Geolocation Data): Affiliates, Service Providers and Business Partners.

3.7.7. Category 7 (Audio/Visual Data): Affiliates, Service Providers and Business Partners.

3.7.8. Category 8 (Employment History): Affiliates, Service Providers and Business Partners.

F. Protecting Personal Information

3.8. We use reasonable and appropriate physical, technical, and organizational safeguards designed to promote the security of our systems and protect the confidentiality, integrity, availability, and resilience of Personal Information. Those safeguards include: (i) taking steps to ensure Personal Information is backed up and remains available in the event of a security incident; and (ii) periodic testing, assessment, and evaluation of the effectiveness of our safeguards.

3.9. However, no method of safeguarding information is completely secure. While we use measures designed to protect Personal Information, we cannot guarantee that our safeguards will be effective or sufficient. In addition, you should be aware that Internet data transmission is not always secure, and we cannot warrant that information you transmit utilizing the Services is or will be secure.

G. Your Rights Regarding Personal Information

3.10. You have certain rights regarding the collection and processing of Personal Information. You may exercise these rights, to the extent they apply to you, by contacting us at the information provided at the end of this Privacy Notice, or by following instructions provided in this Privacy Notice or in communications sent to you.

3.11. Your rights vary depending on the laws that apply to you, but may include:

3.11.1. The right to know whether, and for what purposes, we process your Personal Information;

3.11.2. The right to be informed about the Personal Information we collect and/or process about you;

3.11.3. The right to access, modify, and correct Personal Information about you;

3.11.4. The right to know with whom we have shared your Personal Information with, for what purposes, and what personal data has been shared (including whether Personal Information was disclosed to third parties for their own direct marketing purposes); and

3.11.5. The right to withdraw your consent, where processing of Personal Information is based on your consent.

3.12. We strive to maintain the accuracy of any Personal Information collected from you, and will try to respond promptly to update our records when you tell us the information in our records is not correct. However, we must rely upon you to ensure that the information you provide to us is complete, accurate, and up-to-date, and to inform us of any changes. Please review all of your information carefully before submitting it to us.

3.13. Depending on the laws that apply to you, you may obtain from us certain Personal Information in our records. If you wish to access, review, or make any changes to Personal Information you have provided to us through the Services, please contact us at the information provided at the end of this Privacy Notice. We reserve the right to deny access as permitted or required by applicable law.

H. Your Choices

3.14. You have choices about certain information we collect about you, how we communicate with you, and how we process certain Personal Information. When you are asked to provide information, you may decline to do so; but if you choose not to provide information that is necessary to provide some of our Services, you may not be able to use those Services. In addition, it is possible to change your browser settings to block the automatic collection of certain information.

3.14.1. Communications Opt-Out. You may opt out of receiving marketing or other communications from us at any time through a given communications channel (such as email) by following the opt-out link or other unsubscribe instructions provided in any email message received.

3.14.2. Cookies. Your web browser can be set to allow you to control whether you will accept cookies, reject cookies, or to notify you each time a cookie is sent to your browser. If your browser is set to reject cookies, websites that are cookie-enabled will not recognize you when you return to the website, and some website functionality may be lost. We may use Google Analytics, which uses cookies and similar technologies to collect and analyze information about use of the Services and report on activities and trends. 3.14.3. Certain information is collected by most browsers or automatically through your device, such as your Media Access Control (MAC) address, computer type (Windows or Macintosh), operating system name and version, device manufacturer and model, language and Internet browser type and version. We use this information to ensure that the services function properly. Your IP address is a number that is automatically assigned to the computer that you are using by your Internet Service Provider. An IP address may be identified and logged automatically in our server log files whenever a user accesses the Services. Collecting IP addresses is standard practice and is done automatically by many websites, applications, and other services. We use IP addresses for purposes such as calculating usage levels, diagnosing server problems, and administering the Site.

I. Additional Information About Personal Information and the Services

3.15. Third-Party Websites and Services. As a convenience, we may reference or provide links to third-party websites and services, including those of unaffiliated third parties, our affiliates, service providers, and third parties with which we do business. When you access these third-party services, you leave our Services, and we are not responsible for, and do not control, the content, security, or privacy practices employed by any third-party websites and services. You access these third-party services at your own risk. This Privacy Notice does not apply to any third-party services; please refer to the Privacy Notices or policies for such third-party services for information about how they collect, use, and process Personal Information.

3.16. Business Transfer. We may, in the future, sell or otherwise transfer some or all of our business, operations or assets to a third party, whether by merger, acquisition or otherwise. Personal Information we obtain from or about you via the Services may be disclosed to any potential or actual third-party acquirers and may be among those assets transferred.

3.17. Do Not Track. We do not track you over time and across third party websites to provide targeted advertising. Accordingly, we do not recognize or respond to “Do Not Track” signals.

3.18. International Use. This Site is not intended to subject us to the laws or jurisdiction of any state, country or territory other than that of the United States. Any information you provide to Apotex through use of the Site may be stored and processed, transferred between and accessed from the United States and other countries which may not guarantee the same level of protection of Personal Information as the one in which you reside. However, Apotex will handle your personal data in accordance with this Privacy Notice regardless of where your Personal Information is stored/accessed.

J. Applicability, Modifications and Updates to this Privacy Notice

3.19. This Privacy Notice replaces all previous disclosures we may have provided to you about our information practices with respect to the Services. We reserve the right, at any time, to modify, alter, and/or update this Privacy Notice, and any such modifications, alterations, or updates will be effective upon our posting of the revised Privacy Notice. We will use reasonable efforts to notify you in the event material changes are made to our processing activities and/or this Privacy Notice, such as by posting a notice on the Services or sending you an email. Your continued use of the Services following our posting of any revised Privacy Notice will constitute your acknowledgement of the amended Privacy Notice.

3.20. This Privacy Notice is subject to any agreements, including the Legal and Copyright Terms that govern your use of the Services. This Privacy Notice applies regardless of the means used to access or provide information through the Services.

3.21. This Privacy Notice does not apply to information from or about you collected by any third-party services, or applications associated with, or websites linked from, the Services. The collection or receipt of your information by such third parties is subject to their own privacy policies, statements, and practices, and under no circumstances are we responsible or liable for any third party’s compliance therewith.
