Apotex announces expansion of licensing agreement with Formosa Pharmaceuticals to Mexico for commercialization of clobetasol propionate ophthalmic suspension for the treatment of inflammation and pain following ocular surgery

Mexico City, Mexico – May 06, 2025 – Apotex Inc. (referred to as "Apotex" or "the Company") today announced it has entered into an exclusive licensing agreement with Formosa Pharmaceuticals ("Formosa", 6838.TW), for exclusive rights in Mexico for the commercialization of clobetasol propionate ophthalmic suspension, 0.05% (APP13007), a patented innovative medicine for the treatment of inflammation and pain following ocular surgery, upon regulatory approval. 

APP13007 was approved by the U.S. Food and Drug Administration (FDA) in 2024. APP13007’s active ingredient is the corticosteroid clobetasol propionate, and it is derived from Formosa Pharma's proprietary APNT® nanoparticle formulation platform. This novel formulation proved statistically and clinically superior to its matching placebo in Phase 3 trials in the United States (p<0.001).

This license agreement for the Mexican market adds to Apotex's existing exclusive rights to this product in Canada.

("Apotex" or the "Company") announced today that, as a result of strong demand, Apotex, an affiliate of SK Capital Partners ("SK Capital"), API Investment LP ("Sherfam") and Allan Oberman ("Oberman", and together with SK Capital and Sherfam, the "Selling Shareholders") have entered into an amended agreement with the syndicate of underwriters (the "Underwriters") led by RBC Capital Markets, TD Securities Inc., and Scotiabank, as joint lead bookrunners, and BMO Capital Markets and Jefferies Securities, Inc., as joint bookrunners, to increase the size of the previously announced bought deal secondary offering of common shares of the Company (the "Common Shares"). Under the amended agreement, the Underwriters have agreed to purchase 25,000,000 Common Shares from the Selling Shareholders at a purchase price of $34.00 per Common Share for total gross proceeds of approximately $850,000,000 (the "Upsized Offering").

("Apotex" or the "Company") announced today that Apotex, an affiliate of SK Capital Partners ("SK Capital"), API Investment LP ("Sherfam") and Allan Oberman ("Oberman", and together with SK Capital and Sherfam, the "Selling Shareholders") have entered into an agreement with a syndicate of underwriters (the "Underwriters") led by RBC Capital Markets, TD Securities Inc., and Scotiabank, as joint lead bookrunners, and BMO Capital Markets and Jefferies Securities, Inc., as joint bookrunners, to complete a secondary offering on a bought deal basis (the "Offering") of common shares of the Company (the "Common Shares"). Under the agreement, the Underwriters have agreed to purchase 22,058,825 Common Shares from the Selling Shareholders at a purchase price of $34.00 per Common Share for total gross proceeds of approximately $750,000,050.
